Registered Office Change
The registered office of a company is the place of business activities where all official communication is sent. The registered address of a company must always be effective. Every company is governed in accordance with the provision of Companies Act, 2013.
A company shall, on and from the 15th day of its incorporation shall have a registered office capable of receiving and acknowledging all communications and notices as may be addressed to it. It is the principle place of business.
The registered office of the company can be changed within the local limits of any city, town, or village.
To change a registered office, a notice has to be given to the respective Registrar within 30 days from the date of change.
Every company shall affix the address of its registered office outside every office or place in which a business is carried on.
Modes of change:
- Change of registered office from one place to another within limits of the same city;
- Change of registered office from a place outside local limits but within same state;
- Change in registered office from one state to another
- Change of place from the jurisdiction of one place within the same state to another
Procedure to be followed:
In case the registered office is changed from one village, town or city to another, a special resolution has to be passed.
But when the registered office is changed from one state to another a board resolution is to be passed within the company.
If any default is made with any of the requirements then the respected official shall be liable for penalty.
