Change Objectives of your Business
Planning for a change in the objectives!!
If you would like to change the objectives of your business, you need to first amend the Memorandum of Association.
Object clause is in company’s Memorandum of Association which is created and filed with the Registrar of Companies, at the time of incorporation. Object clause specifies those objectives for which a business is incorporated or registered in India.
As object clause is a part of Memorandum of Association, any change in the object requires alteration in Memorandum of Association.
Every change in the object clause of Memorandum of Association must be duly filed with the Registrar of Companies.
Procedure to be followed:
- First call a board meeting for approval of change in the objectives of the business;
- Also call the Extra ordinary general meeting (EGM) for the approval of the shareholders;
- Also necessary forms needs to be filed up with the Registrar
